The terms that govern your use of the VidaFlow Health website and services.

Who operates this site

VidaFlow Health is a brand operated by VidaFlow Health, LLC, a limited liability company formed in [Your State]. References in this policy to "VidaFlow Health," "we," "us," or "our" mean VidaFlow Health, LLC doing business as VidaFlow Health. Principal office: 123 Example Street, Suite 100, Anytown, ST 00000.

Acceptance of these terms

By accessing or using the VidaFlow Health website at vidaflowhealth.com (the "Site") and the related services we provide, you agree to these Terms of Use. If you do not agree, please do not use the Site or the services.

These terms form a binding agreement between you and VidaFlow Health, LLC, a [Your State] limited liability company doing business as VidaFlow Health ("VidaFlow Health," "we," "us," or "our"). Please also read our Privacy Policy, our Telehealth Informed Consent, and our Shipping and Refund Policy, which are part of these terms.

Our role: technology platform, not a healthcare provider

VidaFlow Health is a technology and concierge coordination platform. We connect you with independent, licensed healthcare providers and independent, licensed US compounding pharmacies. We are not a healthcare provider, we do not practice medicine, we do not operate a pharmacy, and we do not provide medical advice.

Clinical services are provided by an independent professional medical practice, VidaFlow Medical Group, and medications are prepared and dispensed by independent licensed pharmacies named on our Pharmacies page. Requesting a consultation, completing the assessment on this Site, or using the platform does not create a doctor-patient relationship with VidaFlow Health. A doctor-patient relationship, if any, is formed only with a licensed provider after that provider reviews your information.

Eligibility

To use the services you must be at least 18 years old, be a resident of the United States, and be located in a state where the services and provider licensing allow care to be delivered. You agree to provide accurate, current, and complete information when you request a consultation and when you complete any medical intake, and to keep that information up to date.

Availability depends on provider licensing and on the pharmacy that would fill any prescription. We may decline service, or limit service, where we cannot lawfully provide it.

How the service works

This Site is a marketing and education site. It does not sell products and does not process payments. There is no on-site checkout.

The current engagement model works in stages:

  • You request a free consultation by completing the short intake on our Book a Call page. This is a consultation request, not a purchase. There is no shopping cart and no payment processed on this Site.
  • If it looks like a fit, our care team schedules a private consultation. Pricing is presented and discussed openly during that consultation, never as an automated on-site checkout.
  • After the consultation, you complete a secure medical intake on the separate provider platform at portal.vidaflowhealth.com. Any membership enrollment, payment, and recurring billing happens on that provider platform, not on this Site.
  • A licensed provider reviews your information and decides whether to prescribe. Treatment is provided only when a provider determines it is clinically appropriate for you.

No guarantee of treatment

Submitting a consultation request or a medical intake does not guarantee that you will receive a prescription, a medication, or any particular protocol. Treatment is provided only if a licensed provider independently determines that it is appropriate for you, and a provider may decline to prescribe.

Compounded medications offered through the provider network are not reviewed or approved by the FDA for safety or effectiveness. Outcomes vary by individual and are not guaranteed. Nothing on this Site is a promise of any specific result.

Payments and billing

No fees are charged on this Site. There is no charge to request a consultation.

VidaFlow Health offers two engagement tiers. The Protocol Membership pairs you with a provider and ongoing protocols, with medication priced at cost. The Comprehensive Program is our flagship concierge engagement, offered by application, with pricing discussed privately on your consultation. Any reference monthly pricing shown on product pages is illustrative and is not a checkout price or a binding quote; your actual pricing is confirmed with you directly.

Where a tier involves payment, that payment is set up and processed on the separate provider platform at portal.vidaflowhealth.com, operated together with the independent providers and their payment processors. By enrolling on that platform you authorize the applicable charges described to you there, including any consultation fee, membership fee, and the cost of medication a provider prescribes. The specific amounts, billing cadence, and terms presented to you on the provider platform at the time you enroll govern those charges.

Membership and recurring billing

A Protocol Membership and certain ongoing protocols are billed on a recurring basis until you cancel. Recurring billing, the billing date, and the amount are disclosed to you on the provider platform at portal.vidaflowhealth.com when you enroll, and you authorize those recurring charges there.

You can cancel future recurring charges at any time before the next billing date by signing in to the provider platform at portal.vidaflowhealth.com or by contacting our Patient Care team at care@vidaflowhealth.com or (800) 000-0000. Cancellation stops future charges going forward. It does not, by itself, refund a charge for medication that has already been dispensed or shipped. Accounts and acceptable use

You are responsible for keeping any account credentials confidential and for all activity under your account on this Site and on the provider platform. Tell us promptly if you believe your account has been accessed without authorization.

You agree not to misuse the services. In particular, you agree not to:

  • Share your account, or provide false, inaccurate, or incomplete health or identity information.
  • Use the services on behalf of another person without authorization, or seek medication for anyone other than yourself.
  • Attempt to obtain medication by misrepresentation, or resell, transfer, or divert any medication dispensed to you.
  • Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Site, the provider platform, or related systems.
  • Use the services for any unlawful purpose or in violation of these terms or applicable law.

Intellectual property

The Site and its content, including text, graphics, logos, page layouts, photographs, and the VidaFlow Health name and marks, are owned by VidaFlow Health, LLC or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal, non-commercial use.

You may not copy, reproduce, republish, frame, scrape, or create derivative works from the Site or its content without our prior written permission. All rights not expressly granted are reserved. Third-party names and marks, including VidaFlow Medical Group and the named pharmacies, belong to their respective owners.

Third-party services and links

The clinical and fulfillment parts of your care are delivered by independent third parties, including the provider platform at portal.vidaflowhealth.com, the independent medical practice VidaFlow Medical Group, and the independent licensed pharmacies named on our Pharmacies page. These parties are not owned or controlled by VidaFlow Health, and they maintain their own terms, privacy practices, and professional obligations.

The Site may also link to other third-party websites and services. We provide these links for convenience and do not endorse and are not responsible for the content, products, terms, or privacy practices of any third party. Your use of a third-party service is governed by that party's terms, and you should review them.

Disclaimers

The Site and the platform services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Content on the Site is for general information and education only. It is not medical advice and is not a substitute for the judgment of a licensed provider. Always follow the guidance of your prescribing provider. We do not warrant that the Site will be uninterrupted, error-free, or secure. Decisions about diagnosis, treatment, and prescribing belong solely to the independent licensed providers, and decisions about preparing and dispensing medication belong solely to the independent licensed pharmacies.

Limitation of liability

To the maximum extent permitted by law, VidaFlow Health and VidaFlow Health, LLC, and our officers, members, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Site or the platform services.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Site or the platform services will not exceed the greater of the amount of platform fees you paid to VidaFlow Health in the twelve months before the event giving rise to the claim, or one hundred US dollars. Nothing in these terms limits liability that cannot be limited under applicable law. Because VidaFlow Health is a technology platform and not a healthcare provider or pharmacy, we are not responsible for the clinical decisions of providers or the dispensing decisions of pharmacies.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless VidaFlow Health and VidaFlow Health, LLC, and our officers, members, employees, and agents, from and against any claims, damages, losses, liabilities, and reasonable expenses, including attorneys' fees, arising out of or related to your misuse of the services, your violation of these terms, your provision of false or incomplete information, or your violation of applicable law or the rights of a third party.

Governing law

These terms are governed by the laws of the [Your State], where VidaFlow Health, LLC is organized, without regard to its conflict-of-law rules.

Telehealth care is delivered consistent with the laws of the state where you are located at the time of care, including that state's requirements for telehealth, licensing, and prescribing. Nothing in this section overrides any consumer-protection or healthcare right that applies to you under the law of your state of residence and that cannot be waived by agreement.

Dispute resolution

We want to resolve any concern quickly and fairly. Before starting any formal proceeding, please contact us at care@vidaflowhealth.com or (800) 000-0000 so we can try to resolve the matter informally. Most issues can be handled this way.

The following dispute-resolution provisions are conservative placeholders only. They have not been finalized by counsel, and the specific procedures, the arbitration provider, fee-shifting, any class-action waiver, and any opt-out right must be set and confirmed by a qualified attorney and adapted to the law of your state before they are presented as binding. As drafted, they are not asserted as an enforceable agreement to arbitrate or to waive any right.

Placeholder for attorney review: the parties may agree to resolve disputes that cannot be settled informally through binding individual arbitration rather than in court, on an individual basis only, with a placeholder waiver of any right to participate in a class or representative action, and with a clearly disclosed opt-out window. The arbitration rules, venue, allocation of fees, carve-outs for small-claims and injunctive relief, and the enforceability of any class-action waiver under applicable state and federal law must all be reviewed and finalized by counsel. Until then, disputes are handled informally as described above and, failing that, in a court of competent jurisdiction consistent with the Governing Law section.

Changes to these terms

We may update these terms from time to time. When we make material changes, we will revise the "Last updated" date on this page and, where appropriate, provide additional notice. Your continued use of the Site or the platform services after changes take effect means you accept the updated terms. If you do not agree to a change, stop using the services.
